The owner of *** News ditches the B***B name to become *** as it completes its move into Europe.
The owner of *** News has completed a takeover deal costing nearly £7bn that makes the company a leader in five European pay-television markets.
Unveiling plans to change its name to *** to reflect its new geographical diversity, B***B said its corporate transformation would mean it now had 20 million customers across the UK, Ireland, Germany, Italy and Austria.
*** has taken full ownership of *** Italia for £2.45bn, comprised of £2.07bn in cash and the transfer of its 21% stake in the National Geographic Channel to 21st Century Fox, ***'s largest shareholder.
The British-based home entertainment company has also acquired an 89.71% stake in *** Deutschland, its sister operation in Germany, at a cost of £4.44bn.
Announced in July, the deal increases ***'s potential customer base from 30 million households to more than 97 million.
The enlarged company will spend £4.6bn on programming and employ 31,000 staff across Europe.
The group's name-change is subject to formal approval at next week's annual shareholder meeting.
B***B said in July that it wanted to acquire the German operation in order to exploit the relative under-penetration of pay-TV in the country, and added on Thursday that there were 60 million households across ***'s five markets which had yet to take any pay-TV service.
Jeremy Darroch, ***'s chief executive, said: "The three *** businesses will be even better together. We have the opportunity to create a business that can lead and shape our industry in the future.
"Customers will benefit as we launch exciting new services, bring them even more great TV and accelerate innovation across all of the markets in which we operate.
"By joining together, we will share our strengths and expertise while retaining a strong identity in each country where we operate.
"The opportunity ahead is substantial and we believe the new *** will be good for customers, content creators and shareholders alike."
The creation of *** plc comes as competition intensifies in some of the company's key communications and entertainment markets, with BT challenging ***'s position as the dominant force in UK live sports broadcasting and Liberty Global, the owner of ****** Media, expanding its presence across Europe.

Vodafone is to launch UK broadband and TV services in the spring, it has announced.
The firm will use its business fibre network and BT infrastructure to offer the service, it said.
Meanwhile, Vodafone nudged up its full-year core earnings forecast to between £11.6bn and £11.9bn, compared with previous guidance of between £11.4bn and £11.9bn.
The firm's shares rose by more than 5.5% after its announcements.
Vodafone will use its Cable & Wireless business fibre network and BT's Openreach network to provide its broadband and TV service, a company spokesman said.
Pricing, and what TV content will be offered, has yet to be announced, he added.
Tough competition
The home broadband and TV market in the UK is already very crowded, and it may be difficult for Vodafone to compete with rivals including BT, EE, *** and ******, analysts said.
"Vodafone will need to compete on price or on service, and it will be very tough for them to do that," said Mark Newman, chief research officer at Ovum.
It is very expensive to build fibre out to people's homes, he said.
Mr Newman added that if the provider was not the first or the second in the market, it is difficult to compete, because customers do not tend to change services.
However, according to telecoms analyst Oliver Johnson of Point Contact, Vodafone's medium and long-term security of revenues depend on the quality of the broadband, phone and TV service it can offer.
People want to use different devices in the home, and these products will increasingly "talk" to each other, he said. Consumers will expect that service to work well, he added.
"This is where the real emerging markets are going to come," he said. "People want to switch the alarm on, order bits for the fridge, monitor their health, and record their favourite TV programme. It all starts to get stuck together."
Vodafone has moved into more services such as fixed-line telephony, TV and faster 4G mobile as part of its Project Spring network upgrade, which analysts said had helped its overall results.
The firm said improving demand in its big European markets and an investment push into new products helped to slow a fall in revenues.
Vodafone reported second-quarter organic service revenues, which strips out items like handset sales and currency movements, down 1.5%, compared with the near 4-5% falls it recorded in the past six quarters.

Very much depends on your geographic location, dish size etc.. If you live in the south and have a 1.2m dish or larger you can get the beIN Sports channels located @ 7.3w (genuine receiver and sub required)
Alternatively I find 0.8w and 19.2e excellent for football, especially 3pm saturdays
On 0.8w you have a couple of nice HD channels such as 6' Eren HD and Digi Sport 1 HD and on 19.2e there are some excellent Canal + and Canal Digital HD channels as well
BBC Worldwide has today announced that BBC BRIT and BBC EARTH,two of three new global genre brands announced last year, will make their international channel debut in Poland on 1 February 2015. They will be accessible to Polish audiences through DTH, cable and IPTV providers in the market.
The new global brands are a key part of BBC Worldwide’s strategic plan to inspire global audiences and cement the BBC’s international reputation for excellence in factual entertainment with BBC BRIT and premium factual with BBC EARTH. The upcoming launch will follow the successful debut of BBC FIRST,a premium drama channel, in Australia this August.
BBC BRIT offers premium factual entertainment that is intelligent but irreverent. Male-skewing but with broader appeal, it blends expertise with entertainment and fact with fun. The channel will become the exclusive home of Top Gear and covers a rich variety of subjects: cars, science, adventure, business, food, life-changing moments, extreme characters, quirky eccentrics, music, sport and comedy.
BBC EARTH will inspire audiences by sharing the incredible wonders of our universe. The channel will showcase the work of the world’s foremost factual film makers as it seeks to take audiences on a thrilling journey of discovery. From the smallest creature under the microscope to the limitless expanses of space, BBC EARTH will bring viewers face to face with heart pounding action, mind blowing ideas and the wonder of being human.
Tim Davie, CEO BBC Worldwide and Director Global said: “This is an important step in BBC Worldwide’s global strategy to inspire audiences with intelligent, distinctive content. We have already experienced success with the launch of our premium drama brand, BBC First, in Australia and I am confident that BBC Brit and BBC Earth will prove to be popular with Polish audiences. The freshly branded channels will be perfect homes for our best known programme brands, including Top Gear. BBC Brit and BBC Earth will launch initially in Poland as linear channels, and our future global aspiration is for them to be available to consumers in many ways, whether as VOD services, consumer products or live events. This September saw the launch of bbc.com/earth – a brand new digital space where audiences are able to explore their world, discovering its wonders and finding something amazing every day.”
Paul Dempsey, President for Global Markets at BBC Worldwide said: “This new generation of global brands have been created and shaped by research into audience demand. The success of shows such as Top Gear and Frozen Planet demonstrate a clear appetite for premium factual and factual entertainment programming the BBC specialises in and we are looking forward to bringing more of these to Polish viewers with BBC Brit and BBC Earth.”
In Poland BBC Knowledge and BBC Entertainment will be rebranded to BBC Brit and BBC Earth with an increased investment into exclusive new content. BBC Brit and BBC Earth will be available in HD and sit alongside BBC Lifestyle, CBeebies and BBC HD in the Polish market.
Further roll out of the new global genre brands will be announced in due course.
